Experience

Sergio is an associate of our firm since 2015. He focuses on advising domestic and foreign clients in mergers and acquisitions, including the negotiation and preparation of share sale and purchase agreements, sale of assets, shareholders’ agreements and coordination of due diligence processes, as well as in general corporate matters.

His practice also includes advising on regulatory compliance in financial and payment methods regulation, providing advice to companies in the fintech industry.

He also advises on financing transactions, including the structuring of the financing, creation of security interests and personal guarantees, and the negotiation of loan documents. His experience includes bond issuances in both local and foreign markets and other matters concerning the securities market.

Sergio has also advised domestic and foreign clients in bankruptcy matters and in restructuring and refinancing transactions.

Relevant transactions:

  • Advice to Warner Bros. Discovery in the sale of CNN Chile, and in the negotiation of the agreements allowing the buyer to continue the operation of the news channel, including a license agreement.
  • Advice to Multiexport Foods in the sale to Cargill, Inc. of 24,5% of the shares of its subsidiary, Salmones Multiexport S.A., including the negotiation of a shareholders’ agreement between Multiexport, Cargill and Mitsui.
  • Advice to Turner International Latin America, Inc. in the purchase of Canal del Futbol (CDF), and in the license of the exclusive broadcasting rights of the professional Chilean soccer tournament for 15 years.
  • Advice to Multiexport Foods in the investment by Mitsui & Co. Ltd. in its subsidiary Salmones Multiexport S.A., by means of which Mitsui acquired approximately 23% of the company.
  • Advice to Automotores Gildemeister SpA in the restructuring of approximately US$545 million in senior notes issued in New York, by means of a “prepackaged” reorganization under Chapter 11 of the U.S. Bankruptcy Code.
  • Advice to Automotores Gildemeister SpA in the restructuring of approximately US$700 million in unsecured notes issued in New York, by means of an exchange for new secured notes, preferred stock and stock warrants.
  • Advice to Empresa de Transporte de Pasajeros Metro S.A. (Metro) in connection with the issuance and placement of notes in New York, for US$500 million.
  • Advice to Empresa de Ferrocarriles del Estado (EFE) in connection with two issuances of notes in Chile (US$120 million and US$110 million, approximately).
  • Advice to Empresa de Ferrocarriles del Estado (EFE) in connection with the issuance and placement of notes in New York, for US$500 million.
